Position Overview

Adaptive’s Legal team is seeking a creative, agile, and diligent Counsel to join Adaptive’s transactional business attorney team focused largely on contracting.  As an integral member of the Legal Department, this role will work in conjunction with our business clients and other attorneys to handle commercial contract negotiation and drafting, primarily in support of Adaptive’s sales and EMR integration teams offering our diagnostic clonoSEQ® assay to physicians, hospitals and community groups.

Key Responsibilities and Essential Functions

  • Draft, review and negotiate laboratory services agreements (LSAs), electronic medical record (EMR) integration agreements, and other contractual arrangements relating to Adaptive’s clonoSEQ assay.
  • Lead internal efforts regarding risk mitigation and compliance with government contract terms.
  • Partner closely with privacy and compliance attorneys and counterparts in market access, marketing, finance, security, and operations functions to spot issues and carefully evaluate and mitigate risks.
  • Provide support on NDAs, vendor contract reviews and vendor management matters.
  • Advise on and direct internal traffic regarding routine, ongoing legal queries in the diagnostic clonoSEQ business, such as contract interpretation, alignment with compliance requirements, and risk assessments in view of business priorities.
  • Help develop, implement, and maintain contract templates, negotiation playbooks, company policies, and other legal processes to drive value and efficiency, which may include use of and proficiency with artificial intelligence tools.
  • Keep informed of new laws, regulations, and industry trends affecting Adaptive.
  • All other duties as assigned; this role may be asked to handle projects and/or workstreams outside what is expressly contemplated.

Position Requirements (Education, Experience, Other)

Required 

  • Juris Doctorate from a nationally accredited law school and current member in good standing of a U.S. state bar.
  • At least 5+ years prior in-house or law firm experience providing transactional legal counsel.
  • Ability to travel at least 1-2 times per year for in-person team or department meetings.

Preferred

  • At least 2-3 years in a law firm environment.
  • Experience with a biotech and/or the life sciences industry, particularly a diagnostics company.
  • Familiarity or experience with FARs, DFARs and other government contracting terms and rules.
  • Demonstrated client service orientation. Someone eager to establish and own relationships with business owners and who can recognize and respond quickly and pragmatically to demanding clients.
  • Comfortable with layers of regulatory, compliance and privacy considerations, and a plus if candidates have experience with privacy agreements (e.g., DPAs and BAAs).
  • Sound business judgment and ability to navigate complex legal issues without losing sight of the overall business goal.
  • Strong verbal and written business communication skills are essential: adept at synthesizing and summarizing complex and/or voluminous content into clear, concise and actionable communications, including on legal matters to non-attorneys.
  • Ability to juggle multiple priorities, work under fast-paced conditions, be comfortable making decisions and demonstrate good judgment.
  • Strong project management skills: can prioritize tasks and goals to ensure timely, on-target and within-budget accomplishments.
  • Initiative to solve problems and help the commercial function within the Legal department drive process improvements and scalability.

Working Conditions

Office environment. This position is based in Seattle but may be remote.

Compensation

Salary Range: $172,000 - $258,000

Other compensation elements include:

  • equity grant
  • bonus eligible

Adaptive’s posted compensation information includes a base salary (or hourly rate) range and summary of other available total compensation. The base salary range represents a minimum-to-maximum salary (or hourly rate) available to candidates upon extension of offer. Base salary is thoughtfully considered upon offer and is determined through multiple evaluation checks throughout the interview process, including: a candidate’s ability to meet minimum qualifications (skills/experience/education), a candidate’s ability to thoughtfully address preferred qualifications, current market conditions, and internal pay equity. Listed base salary is exclusive of bonus, commission, equity, differential pay, benefits, and other incentives.
